Service Terms and Conditions

These General Terms and Conditions for Service Provision (“Terms”) govern the contractual relationship between Perugini Multimedia (hereinafter the “Provider”) and the Customer (hereinafter the “Customer”), regarding the services of creating and/or updating websites, with or without hosting, and any other performance agreed upon by the parties.

1. Object of the Contract
The Provider undertakes to provide the Customer with website creation, updating, and maintenance services, as well as any ancillary services (e.g., blog, YouTube channel, content management) as agreed at the offer stage. Any modification or addition shall be subject to an additional written agreement between the parties.

2. Liability for Data and Credentials
If the Customer already has a third-party hosting provider, the Provider assumes no responsibility for any information not provided or provided inaccurately by the hosting provider, including but not limited to delays, disruptions, misconfiguration, or communication errors by the hosting provider.

Furthermore, if the Customer does not provide the necessary credentials (login, password, control panel, FTP, etc.) for website publication, or does not provide them in a timely and/or correct manner, the Provider cannot be held responsible for any delays, publication errors, or the inability to put the site online within the expected timeframe. This release specifically covers any incomplete publication, loading errors, missing or defective files that may occur due to the lack of cooperation or availability from the Customer.

3. Indemnity and Limitations of Liability
The Customer expressly indemnifies and holds the Provider harmless from any liability related to:

- Errors, omissions, or inaccuracies of the information provided by the Customer or the third-party hosting provider.
- Direct or indirect damages, data loss, service interruptions, delays, or malfunctions attributable to the Customer’s hosting provider or due to the failure to provide credentials.
- Any dispute related to intellectual property rights or license violations of the content (texts, images, videos, software, etc.) provided by the Customer for integration into the site.

It is understood that the Provider does not guarantee any specific results in terms of sales, traffic, or other performance metrics, as such results depend on multiple external and often unpredictable factors.

4. Payment Terms and Renewal
The Customer undertakes to pay all due fees within the agreed terms. In the event of services that include hosting, the renewal is on an annual basis. Failure to pay the renewal fee will result in the automatic interruption of the service at the end of the valid period (12 months from the date of activation or from the last renewal).

In such a case, the domain associated with the site will not be renewed and may be automatically re-assigned to another subject, without any liability on the Provider’s part for any data loss or search engine ranking. The Customer thus indemnifies the Provider from any liability arising from the loss of the domain or website content due to the missed renewal procedure.

5. Customer Obligations
The Customer agrees to:
- Provide complete and timely content, materials, access credentials, and information needed to perform the service.
- Verify the correctness of the content published on the site, holding the Provider harmless from any liability for incorrect or incomplete data.
- Make payments within the agreed terms.

6. Intellectual Property
The Provider retains ownership of any content, layout, source code, or other material protected by copyright, unless specifically transferred to the Customer by contract clause. The Customer guarantees to have all rights and licenses necessary for the use of texts, images, videos, and other content provided to the Provider. The Customer agrees to indemnify the Provider from any third-party actions or claims in this regard.

7. Changes to the Terms
The Provider reserves the right to modify these Terms at any time, subject to written notice to the Customer. Such changes will become effective 15 days from the notification date, unless otherwise agreed by the parties.

8. Governing Law and Jurisdiction
These Terms and all disputes arising out of the contractual relationship between the Provider and the Customer are governed by Italian law. For any dispute, the exclusive jurisdiction shall be that of the Provider's registered office, unless otherwise provided by mandatory law.

9. Acceptance of the Terms
Acceptance of these Terms occurs at the same time the agreement with the Provider is entered into, including online subscription, electronic signature, or paper signature. Such acceptance implies full reading, understanding, and approval of all articles without exception.
